Pursuant to the Euronext Growth Milan Issuer Regulations, anyone party at least 5% of any category of financial instruments within Matica Fintec S.p.A (“the Company”) is a “Significant Shareholder”.

Reaching or exceeding the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 50%, 66,6%, e 90%,– in compliance with Transparency Regulations – constitutes a “Substantial Change” which must be communicated to the Significant Shareholders and to Matica Fintec S.p.A.

In order to allow the Company to comply with the disclosure obligations pursuant to the AIM Italia Issuer Regulations, each Significant Shareholder must communicate to the Company the Substantial Change within 4 trading days from the date of knowledge of the transaction, independently from the date of conclusion of it, or of the occurrence of the event that resulted in a Substantial Change – with the following information:

1. The identify of any affected Significant Shareholders;
2. The date in which Matica Fintec S.p.A. was informed;
3. The date in which the Substantial Change in shareholdings occurred;
4. The nature and amount of the shareholding of the Significant Shareholder involved in the operation.

The Substantial Change communication must be done by using the attached module, sent in advance by email to maticafintec@legalmail.it and subsequently sent by registered letter to: Matica Fintec S.p.A. – Via Giuseppe Parini, 9, 20121 Milano (MI).
